Turing Terms & Conditions
SECTION 1 — PROGRAM OUTLINE
1.1 The TPP Program will automatically renew for one (1) year, based upon the satisfaction of criteria in Section 2 below. Qualifying purchases will be reviewed by Turing on an annual basis. The anniversary of the date on the Turing welcome letter sent to TPP via email upon activation will be used to determine validity of renewal. Both parties may submit in writing, their intent to terminate said Agreement with 30-day written notice.
1.2 Turing reserves the right to immediately terminate this agreement by serving the TPP a written notice if there is at any time a material change in the management, ownership or control of the TPP.
SECTION 2 — PROGRAM CRITERIA
2.1 The TPP will receive all program benefits for their level as currently outlined in the TPP brochure accessible at https://turingvideo.com/tppprogram. Exceptions to TPP benefits i.e. pricing and warranties can be accessed to the Turing website at: https://turingvideo.com/tppprogram.
2.2 Based on Turing’s annual review of qualifying purchases, the TPP may experience a change in level (i.e reassignment). If the annual target in Section 2.1 is not achieved or is exceeded, TPP agrees to be downgraded or upgraded based on the annual review result. TPP agrees to be bound by this agreement under the benefits of the reassigned level for one year from the date on the reassignment letter sent to the TPP from Turing until a 30day termination notice has been submitted by either party in writing.
SECTION 3 — PROGRAM MANAGEMENT
3.1 The TPP Program will be managed by Turing using correlated purchasing data from our approved distribution channel partners.
3.2 In exchange of TPP benefits provided by Turing, TPP hereby agrees not to sell any Turing product on any third-party website without Turing’s prior written approval.
SECTION 4 — CONFIDENTIALITY
4.1 All information that involves the TPP Program, directly or indirectly, shall be considered confidential. Neither company may share this confidential information with any third party without the written consent of both companies.
SECTION 5 — JURISDICTION
5.1 This Agreement is subject to the laws and regulations of the state of California, as well as any applicable federal laws.
